Terms of Service

1. Acceptance

By downloading, installing, or using the NooWoo mobile application ("App") provided by Yair Goldenberg, an individual based in Israel ("we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

2. Description of the service

NooWoo is a privacy-first personal finance app that helps you track net worth, cash flow, and related metrics. All data is stored locally on your device. We do not provide cloud accounts or remote backup of your financial data; encrypted backups, if you choose to create them through the App, are written to your own cloud storage.

3. Eligibility

You must be at least 13 years of age (or the minimum age in your jurisdiction, if higher) to use the App. By using the App you represent that you meet this requirement.

4. License grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App on devices you own or control, solely for your personal, non-commercial use. You may not:

• Reverse engineer, decompile, or disassemble the App, except to the extent allowed by applicable law
• Modify, adapt, or create derivative works of the App
• Distribute, sublicense, lease, or rent the App
• Use the App for any unlawful purpose

5. Subscriptions and in-app purchases

The App may offer optional auto-renewing subscriptions and one-time in-app purchases (collectively, "Subscriptions").

• Length and renewal. Subscriptions auto-renew at the end of each billing period at the then-current price unless canceled at least 24 hours before the end of the current period.
• Cancellation. You can cancel a Subscription at any time through your Apple ID Subscription settings (iOS) or Google Play Subscription settings (Android). Cancellation takes effect at the end of the current billing period; partial refunds for the unused portion are not issued.
• Refunds. All payments are processed by Apple or Google. Refund requests are governed by Apple's or Google's respective refund policies; we cannot issue refunds directly.
• Free trials and promotional offers. If a free trial is offered, the Subscription will auto-renew at the regular price unless canceled before the trial ends.
• Price changes. We may change Subscription prices. Apple and Google will notify you of price changes per their policies; continued use after a price change indicates acceptance.

6. User content and your data

All financial data you enter into the App belongs to you. The App stores this data locally on your device. We do not access, modify, or transmit your data. Encrypted backups created through the App are stored in your own cloud storage; we cannot decrypt them and have no way to recover lost passphrases. Loss of your backup passphrase means loss of the ability to restore that backup.

7. Acceptable use

You agree not to:

• Use the App in any manner that violates applicable law
• Interfere with or attempt to gain unauthorized access to the App or related systems
• Use the App to facilitate fraud, money laundering, tax evasion, or other illegal financial activity

8. Intellectual property

The App, including its source code, design, branding, and the "NooWoo" name and logo, is owned by Yair Goldenberg and is protected by Israeli and international copyright, trademark, and other intellectual property laws. These Terms do not transfer any intellectual property rights to you other than the limited license in Section 4.

9. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, express or implied.

NooWoo is a tool to help you track and visualize your personal finances. It is not financial, investment, tax, accounting, or legal advice. Calculations, projections, and visualizations (including but not limited to net-worth trends, cash-flow summaries, savings rates, and "what-if" projections) are estimates based on the data you enter and assumptions encoded in the App. You should consult a qualified professional before making financial decisions.

We do not guarantee:

• The accuracy of any calculation
• The continued availability of the App
• That the App will be free from bugs or errors

10. Limitation of liability

To the maximum extent permitted by Israeli law, our total liability to you for any claim arising from or relating to the App or these Terms shall not exceed the amount you have paid to us through Subscriptions in the twelve (12) months preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption — whether or not we were advised of the possibility of such damages.

Some jurisdictions do not allow the limitation of certain damages; in those jurisdictions, the limitations apply only to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Yair Goldenberg from any claim, demand, or expense (including reasonable legal fees) arising out of (a) your use of the App in violation of these Terms, or (b) your violation of any applicable law.

12. Termination

We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms. You may stop using the App at any time by uninstalling it. Provisions of these Terms that by their nature should survive termination (including Sections 8, 9, 10, 11, 14) will survive.

13. Changes to these terms

We may update these Terms as the App evolves. The "Last updated" date at the top of this page shows the most recent change. Material changes will be communicated through an in-App notice or a notice on the Website. Continued use of the App after a change indicates acceptance.

14. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. Any dispute arising from or relating to these Terms or the App shall be brought exclusively in the courts of Tel Aviv–Jaffa, Israel; you consent to the personal jurisdiction of those courts.

16. Apple App Store Licensed Application End User License Agreement

If you obtained the App from Apple's App Store, the following additional terms apply between you and Apple (per Apple's standard requirements):

• These Terms are between you and Yair Goldenberg only, not with Apple. Apple is not responsible for the App or its content.
• Apple has no obligation to provide maintenance and support for the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, who will refund the purchase price; to the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the App.
• Yair Goldenberg, not Apple, is responsible for addressing any product liability claims, intellectual-property infringement claims, and consumer complaints related to the App.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
